Terms & Conditions

Please read these terms carefully before using our services. They govern your relationship with Incorruptible Solutions.

1. Acceptance of Terms

By accessing or using the services provided by Incorruptible Solutions (“Company,” “we,” “our,” or “us”), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

These terms apply to all visitors, users, and clients who access or use our website, consulting services, training programs, and any other services we provide.

2. Services Description

Incorruptible Solutions provides cybersecurity consulting services, including but not limited to:

  • Virtual Chief Information Security Officer (vCISO) services
  • Compliance framework implementation and auditing (ISO 27001, SOC 2, GDPR, HIPAA, etc.)
  • Security awareness training
  • Incident response planning and support
  • Security architecture review and design
The specific scope, deliverables, and terms of each engagement will be defined in a separate Statement of Work (SOW) or service agreement.

3. Payment Terms

Payment terms are outlined in individual service agreements. General terms include:
  • Invoices are due within 30 days of issuance unless otherwise specified
  • Late payments may incur interest at 1.5% per month
  • All fees are non-refundable unless otherwise stated in the service agreement
  • Prices are subject to change with 30 days' written notice
  • Travel and expenses, if applicable, will be billed separately at cost
We accept payment via bank transfer, credit card, and other methods as agreed upon in writing.

4. Prohibited Uses

You agree not to use our services or website to:
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit malicious code or attempt to compromise our systems
  • Impersonate any person or entity
  • Collect or harvest personal information without consent
  • Interfere with the proper working of our services
  • Engage in any activity that could damage our reputation
We reserve the right to terminate services for any user who violates these prohibitions.

5. Intellectual Property

All content, methodologies, frameworks, tools, and materials provided by Incorruptible Solutions remain our intellectual property unless explicitly transferred in writing.

  • Client-specific deliverables belong to the client upon full payment
  • Generic templates, tools, and methodologies remain our property
  • You may not reproduce, distribute, or create derivative works without permission
  • Our trademarks, logos, and branding may not be used without written consent
Any feedback or suggestions you provide may be used by us without obligation or compensation.

6. Limitation of Liability

To the fullest extent permitted by law:
  • Our liability is limited to the fees paid for the specific service in question
  • We are not liable for indirect, incidental, special, or consequential damages
  • We are not responsible for third-party products, services, or actions
  • Our services are provided on an advisory basis; implementation decisions remain with the client
  • We do not guarantee specific outcomes or complete protection against security incidents
You acknowledge that cybersecurity is an evolving field and no solution can guarantee absolute security.

7. Termination

Either party may terminate services as follows:
  • For convenience, with 30 days' written notice
  • Immediately, for material breach that remains uncured after 14 days' notice
  • Immediately, for non-payment exceeding 60 days
Upon termination:
  • All outstanding fees become immediately due
  • Client materials will be returned or destroyed as requested
  • Confidentiality obligations continue to apply
  • Licenses granted for our tools or materials will terminate

8. Confidentiality

Both parties agree to maintain confidentiality of all proprietary information:

  • Confidential information will be used only for the intended purpose
  • Reasonable security measures will be employed to protect such information
  • Confidentiality obligations survive termination for a period of 5 years
  • Exceptions include information that becomes public through no fault of the receiving party
Specific confidentiality terms may be outlined in separate Non-Disclosure Agreements (NDAs).

9. Governing Law & Disputes

These terms are governed by the laws of Pakistan:
  • Any disputes will be resolved through good-faith negotiation
  • If negotiation fails, disputes will be submitted to binding arbitration
  • Arbitration will be conducted in Karachi, Pakistan
  • The prevailing party may recover reasonable attorneys' fees
  • Both parties waive the right to a jury trial
Nothing in these terms limits either party’s ability to seek injunctive relief for intellectual property violations.

10. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated via email or website notice at least 30 days before taking effect. Continued use of our services after changes take effect constitutes acceptance of the modified terms.

11. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

12. Entire Agreement

These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and any applicable service agreements, constitute the entire agreement between you and Incorruptible Solutions regarding the use of our services.
